I have the same setup (12.04 64Bit, gnome-shell 3.4.1, nvidia-currnet 
295.40 + nvidia-currnet-updates 295.49)
top says about gnome-shell
  Virt : 1273m
  Res: 140m
  shr: 47m

I created some new windows, dis/enable extension, reload the shell, 
.... the memory doesn't really change (less then +/-10mb)
