last charter change

Hi folks,

Unless I hear violent objections, I'm going to make one final change to
the Charter, at Elliott's request.

As you know, we have restrictions on the number of individuals on the
board who can be affiliated with any one company (a max of 4).  One of
the criteria to establish affiliation is having a strong financial
interest.  Currently, it counts as affiliated individuals, among others,
people who hold "1% of common or preferred stock". Elliot pointed out
that this not cover things like warrants, convertibles, etc. and
proposed that we instead say: "or own at least 1% of the equity or debt,
or derivatives thereof, of a company."
